DESCRIPTION:

The OSC’s recent initiative on the representation of women on corporate boards made headlines around the world.  Now it falls to Canadian companies to respond.  Some companies will see the new disclosure requirements as a strategic opportunity to refresh and enhance the composition and capabilities of their boards by adding skills and perspectives not previously resident at the board table. Others may respond with boilerplate disclosure or even token appointments.  Our panel will discuss the practical implications of the OSC’s new gender diversity policy and offer fresh insights on how diversity can be used to enhance board effectiveness.

 

PRESENTER BIO(s):

Beverly Behan sums up her career in this way:  “My goal is to help create and sustain truly outs

tanding Boards of Directors”. She believes that boards should be a genuine asset to the companies they govern - and to those who own/invest in those companies. To that end, she has worked with over 130 Boards of Directors over the past eighteen years, ranging from recent IPOs to the Fortune 500 - from New York and Toronto to Bogota, Kuala Lumpur and Tel Aviv. 

Beverly’s clients are typically boards that want to get to the top of their game – and stay there. While she has “never met a board she couldn’t make even better”, this can range from significant and very tangible improvements to smaller initiatives primarily designed to keep a great board vibrant.  Many of the boards she works with either have or develop “the wow factor” which occurs when a board is so good that executives who work with that board often come out of meetings saying: “Wow. Maureen Jensen is the Executive Director and Chief Administrative Officer of the Ontario Securities Commission (OSC), which administers and enforces securities law in the capital markets of the province of Ontario. As the senior member of staff, Ms. Jensen is responsible for coordinating and managing the day-to-day operations of the OSC, including its enforcement, market regulation and compliance functions. In addition, she provides leadership and direction in policy development and implementation, as well as strategic securities, regulatory and enforcement policy and program analysis. Margie Parikh is passionate about governance and has seen the direct impact it can have on an organization’s success. She has experienced clearly the benefits of diversity at the board table – diversity of perspective, culture, gender, and expertise. Diversity results in better decision making, thereby driving better business results. But, only through intentional leadership can we continue to drive change.

Margie chairs the board of directors of Canada’s premier outdoor equipment retailer, MEC (www.mec.ca), and serves on the board of directors of Parachute, a national charity (www.parachutecanada.org). Deborah Rosati is an accomplished corporate director, entrepreneur, Fellow Chartered Professional Accountant (FCPA, FCA) and Certified Corporate Director (ICD.D) with more than 25 years of experience in the retail and technology sector.
